How to align a full executive committee behind the Equity Story ahead of phase two of a competitive sale process?

CONTEXT

A European large-cap consumer company was approaching the end of phase one of a sale process run by a global investment bank. The CEO and CFO had led phase one. Phase two would open the business to deep dives and expert sessions, where bidders test the plan directly with each business unit and function head. With initial bids expected, management and shareholders appointed Accellency to prepare the full executive committee for this transition. 

Three dynamics shaped the mandate:

1. Extending ownership of the Equity Story. The CEO and CFO held every pillar of the Equity Story. Phase two required a 12-member executive committee to carry it with the same precision.

2. Anchoring each business in the investment case. Each head of business unit and function needed to present their area through the lens of the Equity Story, the business strategy and the business plan.

3. Anticipating buyer scrutiny. Deep dives and expert sessions would text the plan in detail, building on issues already raised through due diligence and by the sell-side advisor.

APPROACH

Working alongside the bankers and shareholders, Accellency ran four workstreams to roll out the equity story across the executive committee.

  • Q&A Preparation: Model answers were built around the due diligence already completed and the sell-side advisor’s feedback, preparing each executive for the questions most likely to arise.

  • Delivery Coaching: Accellency’s coaches, all former investors and investment marketing professionals, worked with each executive on delivery ahead of deep dives and expert sessions.

RESULTS

The executive committee entered phase two fully engaged, confident in their delivery and aligned on a single message. Each executive presented their business as part of one coherent investment case, reinforcing the narrative established by the CEO and CFO in phase one.

The transaction closed at a premium valuation and ranked among the most closely watched European consumer deals of the year.
